Payment Processing Agreement
Effective Date: February 16, 2026
This Payment Processing Agreement (“Agreement”), effective as of the date of acceptance (“Effective Date”), is entered into by and between TrashDay, Inc., a Delaware corporation (the “Platform”), and the entity or individual accepting this Agreement (the “Merchant”).
1. Processing Services
In addition to its core services offering, Platform offers embedded payments processing services, which includes credit card, debit card, ACH, and other payment processing services, as may be offered from time-to-time (collectively the “Processing Services”).
The Processing Services are integrated directly into the TrashDay platform, enabling Merchant’s customers to pay for waste and recycling services via credit card, debit card, or ACH bank transfer through the TrashDay customer portal, automated billing system, or other payment methods made available by the Platform.
2. Fees and Taxes
Related to the Processing Services, Platform will charge Merchant according to the fees listed below (“Processing Fees”). All Processing Fees payable under this Agreement are exclusive of taxes.

If you, the Merchant, have an alternative pricing agreement with the Platform, please refer to that agreement for official pricing.
Platform reserves the right to adjust Processing Fees with thirty (30) days’ written notice to Merchant. Continued use of the Processing Services after such notice constitutes acceptance of the updated fees.
3. Fair Use Policy
Platform may increase the Card Transaction Volume Fee or Transaction Per Item Fee if Merchant’s (a) American Express credit card payment dollar volume exceeds twenty percent (20%); (b) corporate credit card payment volume exceeds ten percent (10%) of total monthly credit card payments; or (c) credit card payments for transaction amounts greater than one thousand dollars ($1,000.00) exceeds three percent (3%) of total monthly credit card payments. Such increases shall become effective only after Platform has provided Merchant written notice setting forth the changes.
4. Processing Terms and Conditions
By using the Processing Services, Merchant agrees to the Processing Terms and Conditions available at https://legal.rainforestpay.com/processingterms, which may be amended at any time on notice.
5. Term and Termination
The term of this Payment Processing Agreement begins on the Effective Date and continues until terminated by either party.
Either party may terminate this Agreement at any time with thirty (30) days’ written notice to the other party. Platform reserves the right to suspend or terminate Merchant’s access to the Processing Services immediately if Merchant violates the terms of this Agreement or the Processing Terms and Conditions referenced in Section 4.
6. Disclaimer of Warranties
The Processing Services are provided on an “as is” and “as available” basis. Platform makes no warranties, express or implied, regarding the reliability, accuracy, or uninterrupted availability of the Processing Services.
7. Limitation of Liability
To the fullest extent permitted by law, Platform shall not be liable for any indirect, incidental, special, or consequential damages arising from Merchant’s use of the Processing Services.
Platform’s total liability for any claim related to the Processing Services shall not exceed the total Processing Fees paid by Merchant to Platform in the twelve (12) months preceding the claim.
8. Changes to This Agreement
Platform may update this Payment Processing Agreement from time to time. When changes are made, Platform will revise the effective date and post the updated version on its website. Continued use of the Processing Services after changes take effect constitutes acceptance of the updated Agreement.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws provisions.
